Our Corporate Law section advises individuals in starting new businesses and restructuring existing ones and selecting the business structure which best fits their needs, such as joint ventures, general partnerships, limited partnerships, corporations and limited liability companies. Our representation includes formulation of joint venture, partnership and limited partnership agreements, incorporation and organization of the entity, stock buy-sell agreements, operating and management agreements, employment and independent contractor agreements, and other company agreements.

We also represent clients in negotiation and preparation of contracts, such as employment contracts, real estate contracts, construction contracts, business purchase and sale agreements, independent contractor agreements, management agreements, prenuptial agreements, consulting agreements, and severance agreements.

We represent clients in business letters of intent, purchase and sale agreements, confidentiality agreements, due diligence, stock and asset transactions, corporate and business acquisitions and divestitures, financing and security arrangements, and business closings.

We represent clients who are involved in transactions in shopping centers, apartment complexes, office buildings, warehouses, emerging technologies, transportation, restaurants and cafeterias, gasoline and convenience stations, travel agencies, motel, automobile repair, dry cleaners, pharmacies, and other businesses.

Our computer law section negotiates and prepares agreements for software consulting, employment, software development, confidentiality, software and source code escrow, software license, run-time agreements, software support and maintenance, re-seller agreements and other computer agreements. We provide litigation services in intellectual property protection and defense.
